The Associate General Counsel for New York (AGC-NY), under the direction of the University of Vermont Health Network General Counsel, provides and assists in the provision of legal services to the University of Vermont Health Network and its New York affiliates, including Champlain Valley Physicians Hospital, Alice Hyde Health Network, and Elizabethtown Community Hospital and their subsidiaries. The AGC-NY provides legal advice and counsel to Boards, Board Committees, senior executives and staff of those hospitals related to the operation and administration of multi-hospital integrated health care delivery system. The AGC-NY performs routine and complex legal work in the areas of mergers and acquisitions, certificates of need, conflicts of interest, real estate, governance, financing, contracting, policy review, compliance, employment, regulatory affairs and medical staff issues.

Practice in the areas of New York health care law and regulation, commercial real estate, corporate, commercial transactions and finance.

Reporting Relationships: The Associate General Counsel reports to the General Counsel.

Job Requirements: Admitted to Practice New York State Bar United States District Court Northern District of NY

Education: Juris Doctor (J.D.)

Experience: Eight to Fifteen years previous experience and/or work with New York state-based hospitals, health systems, or other regulated health care providers strongly preferred.

Knowledge/Special Skills:

 Must possess excellent analytical, communication, and interpersonal skills to create and maintain effective working relationships with senior executives and a diverse range of clients, including physicians, managers, and staff members. Must be able to proactively identify and solve complex legal issues.

 Knowledge of general healthcare law; fraud and abuse laws; federal healthcare reimbursement programs; managed care and general business contracting; laws and regulations governing the protection of human research subjects; hospital operations, licensure, certification, accreditation, peer review and medical staff issues; and laws regulating tax-exempt healthcare providers.

Job Requirements:

1. Provide legal advice, opinions, and regulatory guidance as requested by senior leadership, management, and employees.

a) Respond to requests for legal advice and opinions in a timely and efficient manner.

b) Triage requests for legal advice/opinions to ensure that the most urgent issues receive prompt attention.

c) Prioritize legal matters based on the nature of the matter and the risk(s) posed to the organization.

d) Conduct and/or assist in the conduct of legal research and analysis; provide written and/or verbal opinions as needed.

e) Prepare correspondence, Certificate of Need applications, reports, and summaries as needed.

f) Assist General Counsel in regard to legal strategy, policy, and specific actions.

2. Monitor and coordinate legal aspects of organization-wide contract management process.

a) Monitor and coordinate organizational contract management policy.

b) Review, prepare, and approve contracts involving employment, leases, licenses, purchases, sales, third party payers, clinical affiliations, research and related matters.

c) Assist in negotiating contracts.

d) Participate, as requested, in resolving contractual disputes.

e) Prepare standard contract templates.

3. Provide legal support/guidance to assigned committees / business units.

a) Serve as legal liaison to the Contracting Department.

b) Serve as the organization’s legal liaison to the Office of Clinical Trials Research.

c) Serve as the organization’s legal liaison to the Institutional Review Board.

d) Serve as legal liaison to assigned Medical Staff Committees.

e) Server as legal liaison to other UVM Health Network Boards of Trustees and their Committees.

4. Assist Director, Risk Management in the evaluation, management, and settlement of claims/litigation.

a) Assist in the evaluation of claims/litigation by serving as a member of the organization’s Claims Committee.

b) Assist defense counsel, when requested, in regard to responding to discovery requests.

c) Represent the organization, if requested, at trials, mediation and arbitration sessions.

5. Provides legal/regulatory education and training.

a) Assist in the identification of staff educational needs concerning legal/regulatory issues.

b) Assist educators in designing and implementing educational programs/in-services to meet identified educational needs.

c) Present or assist in the presentation of educational programs/in-services.

6. Develops knowledge and skills through participation in regional and national organizations and continuing education activities.

a) Attends professional workshops and seminars to enhance legal skills/knowledge.

b) Participates in regional and national peer groups.

c) Pursues continuing education in areas that will enhance the skills required to efficiently discharge assigned responsibilities
